Corteva (CTVA) spun off its seed business into Vylor (VYLR), giving shareholders one new share per share held, with the combined value rising to $80.
Fifteen states and Guam sued both companies the same day the split closed, alleging the spin-off fraudulently shields assets from PFAS creditor claims.
Vylor targets between $11 billion and $12 billion in 2029 seed sales backed by IP-protected traits, while Corteva's crop protection revenue fell 4% with no dividend announced.

On October 1, 2026, anyone who checked Corteva (NYSE:CTVA) in a brokerage app saw what looked like a collapse. The stock fell 83.82% in a single session and closed at $12.56, down from a prior close of $77.65.

The value of a Corteva position now sits in two tickers. Corteva finished spinning off its seed business into a separate company, Vylor (NYSE:VYLR), and the drop on the screen simply reflects that business leaving the parent.
Corteva said holders of record on September 24 received one Vylor share for every Corteva share they owned. That leaves holders with two very different companies to evaluate. One of these companies sells seed, and the other sells farm chemicals, and a lawsuit naming both was filed the same day the split closed.
What Happened to Your Account
In a spin-off, one company becomes two. Existing holders receive shares of the new company while the parent's share price falls by the value of the business that left.
Vylor traded at $67.46 on its first day. At that price, one Corteva share plus one Vylor share was worth $80.02, above the $77.65 prior close. Vylor's first-day close was approximately $68.26.
Vylor said the distribution is tax-free for US holders. Cash paid for fractional shares is taxable.

Two Very Different Businesses
Vylor holds the seed and genetics business, including Pioneer and Brevant brands, targeting 2029 net sales of $11.2 billion to $11.9 billion. Seed is an intellectual-property business built on trait licensing and long development cycles.

Corteva kept crop protection: herbicides, insecticides, and fungicides. In the second quarter of 2026, seed sales were $4.532 billion and flat, while crop protection brought in $1.847 billion and fell 4%.

A combined company can hide its stronger business inside its weaker one, while a pure seed company will be valued on its own multiple, and a crop-protection company judged on its own results. Luke Kissam, Corteva's chief executive, said, "This is a new day for Corteva." The company guided to about $350 million in one-time separation costs.
Fifteen states and Guam sued both companies in Indiana. The suit says the spin-off is a fraudulent transfer designed to keep assets from creditors with PFAS claims. Corteva called the claims speculative and unproven.
The company also said, "Corteva itself never made or sold PFAS products." If the suit wins, a court could pull the separated company back into the liability, wiping out the clean break both sides are counting on.
What Could Change the Outlook for Corteva and Vylor
Vylor likely holds the stronger position. The remaining Corteva is the smaller business, with falling sales and generic competition that seed traits protect it from.
Corteva has also not announced a dividend policy, so any yield you see quoted is based on the old combined company, and Vylor has no trading history yet, so its first-day price is only a starting point for evaluating the company.
If Corteva's first standalone third-quarter 2026 report shows crop protection sales growing again and comes with a clear dividend, I am wrong about CTVA.
